The build-operate-transfer (BOT) model is a distinctive type of business partnership where a client company engages a BOT service provider to establish and manage a service delivery center in the form of a subsidiary company, typically in developing countries. The key feature of this model is the eventual transfer of ownership to the client after a predetermined period.
The build-operate-transfer approach derives its name from three main phases it consists of:
  • Build phase, when the service provider establishes the foundations of the subsidiary company,
  • Operate phase, when the BOT vendor owns the company and manages its employees,
  • Transfer phase, when the companies conduct legal operations needed to transfer ownership.
Consequently, BOT is a hybrid model of service delivery that combines outsourcing with insourcing to maximize client benefits.

What happens during each phase of a BOT project?
A build-operate-transfer (BOT) timeline typically spans around 12-24 months and is divided into three distinct phases.
The build phase lasts around 1-3 months. During the build phase, the vendor partner works with the client to determine the project scope, feasibility, and design. The partner assumes responsibility for planning and implementation of the office space, local partnerships and any progressing licensure or trade association agreements that are needed.
The operate phase typically lasts at least 6 months. At the start of operations, the vendor partner establishes a subsidiary organization in the client’s chosen location and takes care of basic necessities, including leasing office space, contracting with local suppliers, securing equipment and IT infrastructure, and hiring essential employees and onboarding them into the newly incorporated company or a temporary employer of record arrangement in a Free Trade Application is in process.
The vendor assumes day-to-day operational responsibilities, including maintenance, repairs, and customer service. They generate revenue from the project, often through tolls, fees, or service charges, and they aim to generate a profit during the operating phase so the client recoups its investment and earns a return.
The transfer phase usually lasts around 1-3 months. In this last phase of the BOT agreement, the vendor partner transfers the ownership of the established subsidiary, including staff, equipment, and facilities, to the client according to the previously agreed-upon transfer procedure. The vendor transfers all assets and liabilities associated with the project to the client and provides knowledge transfer to ensure a smooth transition of operations.
What is BOT in PPP (public-private partnership)?
Historically, the build-operate-transfer model was first utilized in public-private partnerships, for example, in large-scale, complicated infrastructure projects. 
In the case of a public-private partnership, a public entity, such as a local government, can use the BOT approach to limit the investment needed for construction by leveraging the services of a private company and enabling the contractor to profit from said infrastructure during the concession period.
How is the BOT model different from outsourcing?
Traditional outsourcing can be compared to buying a product from the store, while BOT is more like buying all the ingredients and hiring a chef to make the product from scratch.
It is true that BOT contracts demand more commitment from clients than traditional outsourcing methods. Nevertheless, the value generated by the increased control over remote operations after the transition of ownership is widely recognized as a critical benefit of build-operate-transfer.
What are the differences between BOT projects and fee-based services?
Whenever a client company hires a service provider to deliver services performed by the vendor’s employees in exchange for recurring fees, it is called the fee-for-service model (FFS). Usually, the FFS model of outsourcing is very flexible, and a service based on a fixed fee is very easy to manage, so many organizations benefit from its use. 
However, an external contractor can rarely reach the same level of commitment and adjustment to organizational culture as workers preparing to become a part of the client enterprise in the near future.
